Nexacare is a technology platform that connects families ("Clients") with independent caregivers ("Service Providers").
1. Platform Role
The following terms apply to all users of the Nexacare platform.
- Not a Direct Provider: Nexacare facilitates the connection and management of care but does not directly provide medical or senior care services.
- Independence: Caregivers are independent contractors and are not employees, agents, or partners of Nexacare. Nexacare does not control how care is delivered on a day-to-day basis.
2. Trust & Safety (The Screening Stack)
The following terms apply to all users of the Nexacare platform.
- Verification: Nexacare facilitates third-party Background Checks (criminal records) and Identity Verifications.
- No Warranty on Data: While Nexacare facilitates these checks, Nexacare does not independently warrant that third-party information is 100% accurate or up-to-date at all times.
- The Meet-and-Greet: Clients are solely responsible for conducting their own interviews and meet-and-greets to ensure a compassionate fit before a booking begins.
3. User Conduct & Personal Branding
The following terms apply to all users of the Nexacare platform.
- Content License: By uploading "Your Content" (reviews, photos, or updates), you grant Nexacare a perpetual, worldwide license to use this material for marketing and platform improvements.
- Professional Standards: Users agree not to use the platform to harass others, post misleading reviews, or attempt to move payments offline to avoid platform fees (Non-Circumvention).
- Account Security: You are responsible for all activity on your account. Do not share your login credentials with anyone.
4. Payments, Fees, and Cancellations
The following terms apply to all users of the Nexacare platform.
- The Nexacare Fee: Nexacare charges a Service Fee for every booking to maintain its technology and support systems.
- Automated Payouts: Caregivers are paid weekly (every Monday) for all successfully completed bookings from the prior week.
- Taxes: Both Clients and Caregivers are responsible for their own tax obligations, including GST/HST (Canada) or State Sales Tax (US).
- Cancellation Policy: Refunds are processed based on the specific cancellation window selected by the Caregiver at the time of booking.
5. Emergency & Medical Protocols
The following terms apply to all users of the Nexacare platform.
- Medical Authorization: In an emergency, if a Client cannot be reached, the Caregiver and Nexacare are authorized to seek professional medical help.
- Financial Responsibility: The Client agrees to pay for all costs associated with emergency medical treatments for the senior.
- Records Access: In emergencies, Clients authorize healthcare providers to release the senior’s medical records to Nexacare or the Caregiver to facilitate life-saving care.
6. Liability & Indemnity
The following terms apply to all users of the Nexacare platform.
- Sole Risk: Use of the platform and the provision of care is at the user’s sole risk.
- Liability Cap: To the maximum extent permitted by law, Nexacare’s liability is limited to the amount of service fees paid to Nexacare in the 12 months preceding any claim.
- Indemnification: Users agree to defend and hold Nexacare harmless against claims arising from property damage, personal injury, or breach of these terms.
7. Dispute Resolution (Negotiation First)
The following terms apply to all users of the Nexacare platform.
- Informal Resolution: Before legal action, parties must attempt to resolve disputes through good-faith negotiation for at least 30 days.
- Mandatory Arbitration: If negotiation fails, disputes will be settled by binding arbitration through the ADR Institute of Canada (ADRIC) or a similar body in the US, rather than in court.
- Governing Law: These terms are governed by the laws of Ontario, Canada (for Canadian users) or the specific state of operation (for US users).
